Terms of Service

These Terms of Service (the “Terms”) govern access to and use of the Sodero website at sodero.io, the Sodero Cloud application at app.sodero.io, and related software, documentation, and services made available by Sodero Inc. (“Sodero,” “we,” “us,” or “our”) (collectively, the “Services”).

Please read these Terms before using the Services. By creating an account, accepting these Terms, or using the Services, you agree to them. If you use the Services on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf. If a separately executed enterprise agreement conflicts with these Terms, that agreement controls to the extent of the conflict.

Scope. These Terms do not govern purchases through the separate Sodero hardware store, which are subject to the terms presented by that store. Additional license terms may apply to separately distributed software or third-party components.

You must be at least 16 years old to create an account or use account-based Services. If you are under the age of legal majority where you live, you must also have permission from a parent or legal guardian where required by applicable law. You must have legal authority to enter a paid subscription or to act for an organization. We may decline or terminate an account that does not meet these requirements, subject to applicable law.

We make the Services available to users in multiple countries, but particular features, payment methods, or availability may vary by location and applicable law. You are responsible for complying with laws applicable to your use.

You may register using an email address and password or a supported Google sign-in method. You agree to provide accurate registration information, maintain the security of your credentials, and promptly notify us of suspected unauthorized access.

You are responsible for activity conducted under your account, except to the extent caused by Sodero's breach of its obligations or otherwise provided by law. Do not share login credentials or attempt to access another person's account. We may require reasonable account-verification steps to protect you and other users.

Registering for early access creates a Sodero Cloud account but does not necessarily provide immediate access to every product feature. Access may be released gradually, by invitation, or on a published launch schedule. Registration does not guarantee an invitation, a specific launch date, service availability, or a particular credit award unless we expressly confirm it.

Features labeled alpha, beta, preview, or early access may change, be limited, or be discontinued. We will not treat pre-release status as removing rights that cannot lawfully be excluded.

The Services may allow you to create or join Workspaces, invite collaborators, and manage Projects containing robot systems and virtual worlds. Available roles and permissions may include Owner, Admin, Member, Guest, and Project-specific access levels, as described in the applicable interface or documentation.

A Workspace Owner or authorized administrator may manage membership, access, billing, and resources for that Workspace. When you join an organization-managed Workspace, that organization's authorized administrators may control your access and the Workspace's projects and settings. Your personal account and a separately managed Workspace are not necessarily the same thing.

You are responsible for invitations you issue and for configuring appropriate sharing permissions. Projects are intended to be private by default unless an authorized user chooses to share them or makes them accessible through a supported feature.

You retain ownership of your Customer Content. “Customer Content” includes robot definitions, configuration files, source code, custom nodes or modules, 3D assets, simulation worlds, project data, and other materials you upload, create, or store through the Services, to the extent you hold rights in them.

You grant Sodero and its authorized service providers a limited, non-exclusive license to host, process, transmit, reproduce, display to authorized recipients, and otherwise handle Customer Content only as reasonably necessary to provide, secure, maintain, troubleshoot, and support the Services, to follow your instructions, or to comply with applicable law. This permission does not transfer ownership to Sodero.

Sodero does not routinely inspect private project contents for business purposes and does not use your private Customer Content to train general-purpose AI models without your affirmative permission. Authorized access to contents may nevertheless be necessary for support you request, security investigations, legal compliance, or critical incidents, subject to appropriate internal access controls and applicable law.

You are responsible for having the rights needed to upload, share, and use Customer Content. Members of a shared Workspace should agree among themselves on ownership and use of jointly created materials; these Terms do not decide ownership disputes between collaborators.

Sodero and its licensors retain rights in the Services, including Sodero Cloud, Stellar, Cosmic, software modules supplied by Sodero, interfaces, documentation, trademarks, and default assets, except for Customer Content and other materials expressly licensed to you.

Subject to these Terms, applicable plan limits, and any additional product licenses, Sodero grants you a limited, non-exclusive, non-transferable right to access and use the Services for lawful personal, research, educational, and commercial robotics development. Commercial use of your own projects is permitted; it does not transfer ownership of Sodero's underlying software or third-party assets.

Files you create or export through the Services may be used with compatible software or hardware, subject to the licenses applicable to embedded Sodero components, third-party software, and assets. An exported file does not guarantee compatibility with every robot, controller, device, or third-party API. Sodero hardware is not required for every supported deployment, and separately distributed runtimes or hardware may have their own license and technical requirements.

Open-source and third-party materials remain subject to their respective licenses. Unless law or an applicable license permits otherwise, you may not copy, resell, or redistribute Sodero's proprietary software as a standalone product, circumvent access controls, or reverse engineer protected components.

The Services may be offered under Free, Pro, and Enterprise plans. Features, Workspace entitlements, storage, concurrent execution capacity, included credits, and other limits are described on the applicable pricing or ordering page and may differ by plan.

Pro subscriptions may be billed per paid Workspace rather than per individual member, as indicated at checkout. Enterprise services may be governed by a separate order form or agreement. Plan descriptions and prices displayed at the time of purchase form part of the applicable order. We will disclose material billing terms before you purchase.

Paid subscriptions renew for the billing term selected at checkout (for example, monthly or annually) unless you cancel before the next renewal. You authorize the applicable payment provider to charge the amount and applicable taxes disclosed at checkout. Billing currencies, taxes, accepted payment methods, and the merchant of record will be disclosed during purchase.

If a payment fails, we may request updated payment information and, after appropriate notice where required, restrict paid functionality or downgrade an affected Workspace. We will provide notice of material price changes affecting future renewals as required by law.

Payment provider / merchant-of-record details must be finalized before paid launch: [[BILLING_PROVIDER_AND_MERCHANT_OF_RECORD]].

Certain compute-intensive operations, including Cloud runtime or simulation resources, may consume usage credits (“Credits”). Credit consumption and applicable resource rates are shown in the Services or relevant pricing information.

  • Subscription Credits. Credits included in a recurring paid plan are available for the applicable billing or allocation period and expire at the end of that period. Unused Subscription Credits do not carry over unless expressly stated in your order.
  • Purchased Credits. Credits purchased separately remain available for one year from the date of purchase, unless applicable law requires a longer period or otherwise restricts expiration. Canceling a subscription does not, by itself, cancel an unexpired Purchased Credit balance. Continued use is subject to the features and resource access available to your account or plan.
  • Promotional Credits. Free, referral, early-access, or promotional Credits are governed by the amount, eligibility, validity period, and other conditions disclosed when they are awarded.

Credits are usage entitlements, not bank deposits or a currency, and cannot be transferred or redeemed for cash except where applicable law or a published refund rule requires otherwise. Credit refunds, including unused and partially consumed Purchased Credits, must follow the policy presented before purchase and applicable law: [[PURCHASED_CREDIT_REFUND_RULE_TO_APPROVE]].

You can review available balances and expiry information through supported account or billing features. Usage already incurred is deducted according to the rate shown for the relevant service. We may change future usage rates with reasonable advance notice where required; changes will not retroactively increase charges for completed usage.

You may cancel a recurring Pro subscription through the available billing controls or by contacting support. Cancellation takes effect at the end of the current paid billing period. You retain paid-plan access until that period ends, unless access is lawfully suspended for a separate reason. Thereafter, the affected Workspace may revert to Free-plan limits.

A cancellation prevents future automatic renewal; it does not automatically refund the current billing period. Refunds, statutory withdrawal rights, remedies for unavailable services, and other mandatory consumer protections remain available as required by applicable law. Any additional voluntary refund rules must be clearly disclosed before purchase: [[SUBSCRIPTION_REFUND_RULE_TO_APPROVE]].

Downgrading does not automatically delete existing Projects, but features or resource use above Free limits may be restricted. We will describe applicable access, export, and cleanup procedures before a downgrade materially affects data. Purchased Credits and Subscription Credits follow the separate expiration rules in Section 9.

You must not use the Services to violate laws, infringe third-party rights, compromise security, distribute malware, interfere with another user's work, abuse infrastructure, or gain unauthorized access. You must not use another person's credentials, bypass usage limits, or misrepresent the identity or permissions of a Workspace.

You are responsible for your own code, third-party dependencies, robot descriptions, simulation assets, and connected devices. We may investigate reports of misuse and take proportionate action, including limiting access, where reasonably necessary for security or legal compliance.

The Services may be used to define, simulate, or execute software that controls physical robots and electromechanical equipment. Simulated behavior does not establish that physical operation is safe. Results can differ because of hardware characteristics, sensor error, communications, calibration, environmental conditions, control-policy behavior, or implementation choices.

Before operating physical equipment, you are responsible for appropriate risk assessment, calibration, validation, operator training, guarding, emergency-stop arrangements, and other safety measures required for your system and jurisdiction. Do not rely on the Services as a substitute for an independent safety system unless a specific product is expressly documented and approved for that purpose.

You are responsible for evaluating imported code, trained policies, configurations, and third-party drivers before use on real equipment. The ability to export a project or run a node does not guarantee compatibility, safety, or certification for your hardware. Nothing in these Terms excludes liabilities that cannot be excluded under applicable law or excuses Sodero from its own legally established responsibilities.

We strive to provide reliable Services but do not promise uninterrupted operation or error-free results. Scheduled maintenance, outages, third-party dependencies, or security measures may temporarily affect access. We may update, add, deprecate, or discontinue features, with notice when materially required by law or existing commitments.

The Services may integrate with third-party identity providers, robot platforms, libraries, hosting providers, or external links. Their services and materials may be subject to their own terms. An integration does not imply that Sodero has obtained authorization to alter or bypass third-party proprietary robot-control interfaces.

You may close your account through the provided controls or by requesting assistance. We may suspend or terminate access where reasonably necessary for serious violations, security risks, fraud, legal requirements, or prolonged payment failure, subject to applicable notice and legal rights.

Before account closure, you should export Customer Content using available tools. Closing a personal account does not automatically delete a separately managed Workspace or content lawfully shared with other members. Account and Customer Content deletion, backups, and legally required record retention are described in the Privacy Policy. We do not promise immediate irreversible deletion from every backup system.

Except for guarantees expressly made by Sodero and rights that cannot be excluded by law, the Services are provided subject to the limitations described in these Terms and any applicable order. Technical examples, simulations, and documentation are not warranties of fitness for any particular physical robot, environment, or safety-critical use.

To the extent permitted by applicable law, neither party is liable for remote or unforeseeable indirect or consequential loss merely because the other party was notified of its possibility. Any proposed aggregate liability cap requires legal and commercial approval before publication: [[LIABILITY_CAP_AND_EXCEPTIONS_TO_APPROVE]]. No provision limits liability for fraud, willful misconduct, or other matters that applicable law prohibits us from limiting.

We may update these Terms to reflect changes in the Services, legal requirements, or business practices. We will post the revised version with an updated date and provide additional notice, or request renewed consent, when required by applicable law. Material changes will not be applied retroactively in violation of existing contractual or statutory rights.

Unless mandatory local law provides otherwise or a signed enterprise agreement specifies another rule, these Terms are governed by the laws of the Republic of Korea. Any agreed venue or dispute-resolution process must not deprive consumers of protections or courts they are legally entitled to access. Forum and dispute-resolution details require legal confirmation: [[JURISDICTION_AND_DISPUTE_PROCEDURE_TO_APPROVE]].
